Service Terms

• Services are provided as specified in individual Statements of Work (SOW)
• Each SOW details specific deliverables, timelines, and payment terms
• All services are performed as an independent contractor relationship
• Best efforts are made to ensure results are satisfactory to the client

Service Delivery

• Services commence upon execution of SOW and receipt of initial payment
• Work is performed according to methods determined by consultant
• Regular project plans and progress reports may be provided as agreed
• All work product remains consultant’s property with perpetual license granted to client for business use
• Services provided “as is” without warranty

Cancellation Policy

Standard Termination

• 90-day written notice required for termination at end of current term
• SOWs automatically renew for successive periods unless terminated
• All fees and expenses due through termination date must be paid

Early Termination

• 10 business days to cure any material breach after written notice
• Service may be suspended for late payment until account is current
• Late payments subject to 10% monthly late fee
• Reactivation fee of $1,000 applies after second late payment

Force Majeure

Service delivery may be suspended without penalty due to circumstances beyond reasonable control, including but not limited to:

• Acts of God, war, riots, natural disasters
• Internet/technology failures
• Government actions
• Labor disputes

Final Deliverables

• All completed work will be delivered upon full payment
• Client data and materials will be returned upon request
• Confidential information will be protected per agreement terms
